Terms of Service

The terms for using Vexa. Last updated: July 2026.

These Terms of Service (the "Terms") are a binding agreement between you (or the organisation you represent) and Vexa, Inc., a Delaware C corporation, with principal offices at 340 Bryant Street, Suite 300, San Francisco, CA 94107, United States ("Vexa", "we", "us", "our").

By creating an account or using the Vexa platform (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

1. Agreement to terms

These Terms, together with our Privacy Policy, Cookie Policy, and any Order Form or Subscription Agreement signed between you and Vexa, constitute the entire agreement between us relating to the Service and supersede all prior understandings, representations, and agreements.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. References to "you" throughout these Terms include that entity.

We may revise these Terms from time to time. For material changes, we will give you at least 30 days' advance notice by email or prominent in-product notice. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.

2. The service

Vexa is a voice-agent testing platform. The Service tests your voice agent by running it through thousands of simulated calls, conducted by synthetic callers across a configurable range of voices, accents, and edge-case scenarios. Vexa scores every call on task success, tone, response latency, barge-in behaviour, and estimated word error rate, and flags regressions before they reach real callers.

Vexa uses simulated callers, not real customers. No personal data from your end-users is collected, processed, or used in any test suite. You do not need to expose your customers to any Vexa environment to use the Service.

The Service comprises four principal capabilities:

  • Simulation engine. Vexa connects to your voice agent using the endpoint and configuration you provide, and places simulated calls using a library of synthetic voices and caller personas across the scenarios you select.
  • Scoring pipeline. Every simulated call is scored across task success, tone, response latency, barge-in events, and word error rate. Scores are computed per call and aggregated across the suite, so you can see your overall pass rate and the distribution of failures by type.
  • Regression detection. Vexa compares results from each test run to your established baseline and flags score regressions, allowing you to catch quality drops before deployment.
  • Test suite management. You can build, save, and version test suites, configure caller personas, select voice and accent parameters, define edge-case scenarios, and run suites on demand or on a schedule.

We use commercially reasonable efforts to keep the Service accurate and available. Feature scope and available providers may change over time; material reductions in scope will be communicated with reasonable notice.

3. Accounts

You must be at least 18 years old and capable of forming a binding contract to create an account. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Notify us promptly at support@vexavoice.tech if you suspect unauthorised access or a security breach.

You must provide accurate and complete information when creating your account and keep that information current. Accounts created with false information may be terminated without notice.

We reserve the right to refuse, suspend, or terminate accounts at our reasonable discretion, including where these Terms or our Acceptable Use policy have been violated.

4. Plans and billing

Free plan

Vexa offers a free plan with a limited number of simulated calls per month, a single test suite, and a restricted set of voice and scenario options, as published on our Pricing page. The free plan is intended for evaluation and small-scale testing. We reserve the right to adjust free-plan limits with 30 days' notice, or to throttle access if use places disproportionate load on our infrastructure.

Pro plan

The Pro plan is available at $299 per month (or the annual equivalent as stated on our Pricing page) and includes a higher call volume, multiple test suites, the full voice and accent library, regression tracking, and API access. Prices are stated in USD and exclude applicable taxes. Where sales tax, VAT, or similar obligations apply, they will be added at the applicable rate.

Scale plan

The Scale plan is available for customers with high call volumes, advanced integration requirements, or enterprise security and compliance needs. Scale is sold under a separate Order Form or Subscription Agreement and is priced individually. Contact sales@vexavoice.tech for details.

Renewals

Paid plan subscriptions renew automatically at the end of each billing period. We will send a renewal reminder by email at least 7 days before the renewal date. You authorise us to charge your payment method on file for all renewal amounts.

Cancellation

You may cancel your subscription at any time from your account settings or by writing to support@vexavoice.tech. Your access continues until the end of the current billing period, after which your plan will not renew. We do not prorate partial periods unless required by law.

Refunds

Subscription fees are non-refundable except where required by applicable law or as expressly agreed in writing by us. If an invoice remains unpaid for 14 days after the due date, we may suspend your access until the balance is settled.

5. Acceptable use

You may use the Service only for lawful voice-agent testing purposes and in accordance with these Terms. The following restrictions apply:

  • Your own agents only. You must only connect voice agents that you own or have authority to test. You must not use the Service to test agents belonging to competitors or third parties without their explicit written consent.
  • No real caller data. You must not configure any Vexa scenario to route calls to real people or to use real customer phone numbers as caller targets. Vexa is a simulation environment; all callers are synthetic.
  • No illegal use. You must not use the Service for any purpose that is unlawful, including any activity that violates applicable law in your jurisdiction or the jurisdiction in which your agent operates.
  • No interference. You must not attempt to disrupt, overload, reverse-engineer, or interfere with the security or operation of the Service, its underlying infrastructure, or any third-party system accessed through it.
  • No resale. You must not resell, sublicense, or make the Service available to third parties outside your organisation without our prior written consent.

We may suspend or terminate your account immediately if you breach this section, without limiting any other remedy available to us.

6. Intellectual property

Vexa platform

Vexa and its licensors retain all intellectual property rights in the Service, including the simulation engine, scoring methodology, voice and persona libraries, platform software, trademarks, and visual design. These Terms do not transfer any ownership of those rights to you.

Your content and configuration

You retain ownership of any content and configuration you provide to the Service, including your agent endpoints, credentials, test suite definitions, scenario scripts, and custom caller personas. You grant Vexa a limited, non-exclusive licence to use that content solely to provide the Service to you.

Test results

Test transcripts, scores, and reports generated for your account are yours to use for your internal business purposes. You may share results within your organisation and with clients in the normal course of business. We do not use your test results to benchmark or evaluate your agent for any purpose other than providing the Service to you.

7. Customer data and ownership

Your account data, agent configuration, and test history belong to you. We process your data as set out in our Privacy Policy. You may export your test results and configuration at any time from account settings, or by contacting support@vexavoice.tech.

On termination of your account, we will retain your data for 30 days to allow you to retrieve it, after which we will delete it in accordance with our data retention schedule. We will not use your account data to train shared models or to benefit other customers.

8. Disclaimers

Vexa is a testing and evaluation tool, not a certification service. Please read this section carefully before relying on any output from the Service.

  • Scores are directional. Task-success scores, barge-in rates, WER estimates, and other quality signals produced by the Service are analytical approximations intended to guide your evaluation. They are not certifications of agent quality. You should treat a high score as a positive signal, not as a guarantee, and verify critical scenarios with additional human review before production release.
  • Keep a human in the loop. Release decisions for voice agents that interact with real callers should involve human judgment informed by Vexa scores, not Vexa scores alone. The Service is a tool for finding problems faster, not a replacement for qualified human review of your agent's behaviour.
  • Simulated callers are not real callers. Vexa's synthetic caller personas cover a wide range of voices, accents, and edge cases, but they cannot anticipate every pattern of real-world caller behaviour. A passing test suite reduces the risk of production failures; it is not a guarantee against all failures when your agent is deployed with real callers.
  • Coverage limits. Vexa tests the scenarios you configure. Scenarios you have not included in your test suite will not be evaluated. You are responsible for designing suites that cover the range of interactions your agent will face.
  • No warranty of fitness. The Service is provided "as is" and "as available". To the fullest extent permitted by law, Vexa excludes all implied warranties, including any warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

9. Limitation of liability

To the fullest extent permitted by applicable law:

  • Vexa's aggregate liability to you in any 12-month period shall not exceed the greater of (a) the total fees paid by you to Vexa in that same 12-month period, or (b) five hundred US dollars ($500).
  • Vexa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or anticipated savings, regardless of whether such losses were foreseeable or whether Vexa was advised of their possibility.
  • Vexa is not liable for quality failures in your voice agent that occur after your agent is deployed to production, for the accuracy or completeness of any test-suite scores, or for business outcomes resulting from release decisions you make based on Vexa results.

Nothing in these Terms limits or excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

10. Termination

Either party may terminate these Terms at any time. You may terminate by closing your account from your account settings or by writing to support@vexavoice.tech. We may terminate or suspend your access immediately if you breach these Terms in a material way, with or without prior notice depending on the severity of the breach.

On termination, all licences granted under these Terms cease immediately. Sections on intellectual property, disclaimers, liability, and governing law survive termination.

11. Governing law

These Terms and any dispute or claim arising out of or in connection with them, or their subject matter or formation (including non-contractual disputes), shall be governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules.

The federal and state courts located in San Francisco County, California, United States, shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms. Each party consents to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking urgent interim relief in any appropriate jurisdiction.

12. Changes to these terms

We may update these Terms at any time. For non-material changes, we will update the last-updated date at the top of this page. For material changes, including changes to pricing, data practices, or the scope of service, we will give you at least 30 days' advance notice by email and by prominent notice in the platform before the revised Terms take effect.

If you do not accept the revised Terms, you may cancel your account before the change takes effect. Continued use of the Service after the effective date of a change constitutes your acceptance of the revised Terms.
